    یکی از مباحث پیچیده حقوق بین الملل خصوصی بررسی تعارض متحرک است که قواعد خاص و مستقلی به دنبال دارد. در واقع، این نوع تعارض ترکیبی از تعارض قوانین در مکان و زمان است. بررسی قواعد حل تعارض قوانین و به طور خاص ماهیت ثابت یا متغیر عوامل ارتباط به اتفاق نظر ابزاری برای مرزبندی حدود تاثیر تعارض متحرک درنظر گرفته شده است. اگرچه تحلیل ماهیت عامل ارتباط در موقعیتی قرار دارد که به طور قطع نمایی کلی از حدود تاثیر تعارض متحرک را ارائه می دهد، همیشه موضوعاتی، مانند قراردادها یا شرکت ها، وجود دارد که برای وارد کردن آن ها به محدوده تعارض متحرک دچار تردید می شویم. قراردادها و شرکت ها یکی از حوزه هایی هستند که درخصوص اینکه می توانند مشمول قواعد تعارض متحرک باشند و اینکه آیا اصلا تعارض متحرک در شرکت ها با فرض تغییر تابعیت آن ها و در قراردادها با توجه به اصل حاکمیت اراده قابل تصور است یا خیر محل اختلاف نظر میان حقوقدانان است که اغلب آن ها تعارض متحرک در شرکت ها را با اکراه بیان می کنند. در این مقاله سعی شده است به این موضوع پاسخ داده شود.

    آیین دادرسی به دعوا و رای غیرقابل تجزیه و تفکیک در نظام حقوقی ایران با ابهام و اجمال جدی مواجه است. حتی یک تعریف ساده از قابلیت یا عدم قابلیت «تجزیه» و «تفکیک» در قانون دیده نمی‏شود تا بتوان مفهوم و مصداق «دعوای قابل تجزیه» و «رای قابل تجزیه و تفکیک» را یافت. این موضوع دامنگیر رویه قضایی نیز شده است. هرگاه مسئله جدا کردن بخشی از خواسته و صدور رای در زمینه آن قسمت از خواسته که مقتضی صدور رای است باشد، موضوع ناظر به «قابلیت تجزیه دعوا» است و هرگاه مسئله سرایت رای به اشخاصی در میان باشد که در دادرسی ناشی از اعمال یک طریقه شکایت «شرکت نکرده‏اند» یا «شرکت داده نشده‏اند»، موضوع به «رای قابل یا غیرقابل تجزیه و تفکیک» مربوط است. نگاه حقوق فرانسه به رای غیرقابل تجزیه و تفکیک نفی نمایندگی میان‏ آنان و لزوم طرف قرار گرفتن همه این اشخاص هنگام اعمال یک طریقه شکایت است. در حقوق ایران، نظریه تسری مفاد رای پذیرفته شده، که تا حدی به نظریه نمایندگی نزدیک است.

    رویه دادگاه ها در ایران، مطابق نظر مشهور در فقه و حقوق، این است که در صورت امتناع متعهد از اجرای تعهد، بدوا متعهدله را ملزم به اجبار متعهد می کنند. سپس، در صورتی که اجرای تعهد، حتی توسط ثالث و با هزینه متعهد، قابل اجرا نباشد، متعهدله را مجاز به فسخ قرارداد می دانند. این رویه و مبانی آن، که به منظور جلوگیری از تزلزل قراردادها و جهت حفظ استحکام عقود پایه ریزی شده، نه تنها باعث استحکام قراردادها نمی شود، که برعکس به ایجاد هرج ومرج و سوءاستفاده متعهد با سوءنیت و ایذای متعهدله دارای حسن نیت و تاخیر در احقاق حق و جلوگیری از گردش ثروت و سرعت در مبادلات می انجامد. در این مقاله این موضوع در رویه قضایی بررسی و مشخص می شود که این رویه و مبانی آن فاقد مبنای شرعی و عقلی و قانونی است.

    قانون آیین دادرسی مدنی با وجود اعلام مهلت برای شکایات از آرا، در بیان احکام و آثار و جزئیات آن کوتاهی کرده است. ازین رو با نواقص و سکوت های متعدد در این زمینه مواجهیم؛ از جمله اینکه وضعیت دادخواست اعاده دادرسی پس از مهلت به صراحت بیان نشده است. همچنین، وضعیت دادخواست زودهنگام و پیش از موعد شکایت از رای مشخص نشده است. مهم تر اینکه در زمینه زمان شکایت خارج از مهلت پس از رفع عذر غفلت شده و با وجود توجه قانون گذار به این موضوع در داوری، در دادرسی دادگاه از آن غافل شده و زمینه طرح و بررسی احتمال های متعدد را فراهم کرده است. بررسی موضوع نشان می دهد راه حل منطقی و قابل قبول پذیرش تجدید مهلت قانونی شکایت از رای پس از رفع عذر است.

    بر اساس کنوانسیون بیع بین المللی کالا، زیان دیده از نقض قرارداد وظیفه دارد، به منظور کاهش خسارت، اقدامات معقول را مبذول دارد و اگر به رغم توانایی در این خصوص کوتاهی کند، در قبال آن دسته از خسارت هایی که قابل اجتناب است مستحق دریافت غرامت نخواهد بود. اتخاذ اقدامات ناکافی و غیرمعقول، که منجر به افزایش خسارت می شود، نیز همین نتیجه را به دنبال خواهد داشت. همچنین، هزینه های ناشی از این اقدامات خسارت ناشی از نقض قرارداد تلقی می شود و قابل مطالبه است؛ حتی اگر اقدامات مزبور نتیجه موردنظر را تامین نکنند. با توجه به شرط «معقول بودن»، که در رابطه با اقدامات زیان دیده به منظور کاهش خسارت مدنظر قرار می گیرد، این اقدامات باید نشان دهنده تلاش مقتضی زیان دیده و هزینه آن کمتر از خسارت های احتمالی باشد. در این مقاله سعی می شود، ضمن تبیین مفهوم تعهد به کاهش خسارت، مسائل مرتبط با آن در کنوانسیون بیع بین المللی کالا مورد مداقه و بررسی قرار گیرد.

    در جهان کنونی، نقش راهبردی اطلاعات در تولید ثروت و قدرت انکار ناپذیر است. بنابراین، یک چرخه عظیم انتقال اطلاعات به وجود آمده است. یکی از شیوه‎های قراردادی این انتقال می‎تواند معامله اطلاعات و داده‎ها باشد. اما صحت چنین معاملاتی منوط به اثبات مالیت اطلاعات است، زیرا موضوع معاملات را اموال تشکیل می‎دهد. ازین رو، در این نوشتار تلاش شده، با بهره‎گیری از رهیافت‎های اقتصادی (به ویژه اقتصاد اطلاعات) و ضوابط حقوقی حاکم بر مالیت اشیاء، مسئله مالیت اطلاعات و پاره‎ای از مسائل آن، مانند ماهیت حقوقی اطلاعات از منظر حقوق اموال، بررسی شود. در همین زمینه تاکید شده اطلاعات نه تنها مصداق مال است، بلکه قسم مجزایی از اموال را تشکیل می‎دهد. البته اگر جنبه نوآورانه و ابتکاری به خود بگیرد و واجد شرایط لازم باشد، جزء اموال فکری خواهد بود.

    به سال 2005 میلادی، اکثریت سهامداران شرکت نفتی یوکاس با شروع سه جریان داوری موردی علیه دولت روسیه، بر مبنای معاهده منشور انرژی، مدعی شدند دولت روسیه در حق آنان رفتار عادلانه و منصفانه را رعایت نکرده و دارایی های آن ها را مصادره کرده است و باید خسارت وارده را جبران کند. با توافق خواهان ها، هر سه پرونده در یک دیوان داوری مطرح و با توجه به مشترکات آن ها تحت جریان دادرسی واحد بررسی شد. دولت روسیه در واکنش به دعوای سهامداران شرکت یوکاس، با طرح مجموعه ای از ایرادات، مدعی شد دیوان داوری آنسیترال صلاحیت رسیدگی به ادعای خواهان ها را ندارد. دیوان داوری، به رغم ایرادات روسیه، به تاریخ 30 نوامبر 2009، با صدور رای مقدماتی، صلاحیت خود را احراز کرد. سپس، به تاریخ 18 جولای 2014، رای نهایی خود را، که از آن به بزرگ ترین رای تاریخ داوری یاد می شود، صادر و به موجب آن دولت روسیه را به پرداخت مبلغی بالغ بر پنجاه میلیارد دلار در حق سهامداران شرکت نفتی یوکاس محکوم کرد. دیوان داوری یوکاس طی رای صلاحیتی خود به تجزیه وتحلیل برخی از مقررات مهم مربوط به حوزه حل وفصل اختلافات سرمایه گذاری پرداخت که اهمیت موشکافی رای صلاحیتی را دوچندان کرد. این رو، در این مقاله به بررسی تحلیلی ایرادات دولت روسیه در زمینه صلاحیت دیوان داوری پرداخته شد تا بهتر بتوان اعتبار و درستی سنگین ترین رای تاریخ داوری را ارزیابی کرد.

    امروزه، به علت گسترش روابط خصوصی بین المللی، تقریبا همه نظام های حقوقی اعمال قوانین و تنفیذ احکام خارجی در دادگاه های خود را امری مسلم می دانند. با این حال، احکام خارجی را مشابه احکام داخلی نمی دانند و سعی می کنند احکام خارجی را تحت کنترل بگیرند. بدین منظور شرایطی را برای اجرای احکام خارجی مقرر کرده اند که با احراز این شرایط اجرای حکم خارجی ممکن خواهد بود. نظام حقوقی ایران و مصر نیز از این قاعده مستثنی نیست. در زمینه شرایط اجرای احکام در حقوق ایران و مصر آثاری نگاشته و مباحثی مطرح شده است. اما، سوال مهم این است که آیا شرایط مقرر برای اجرای احکام خارجی در نظام حقوقی مصر و ایران یکسان است؟ و با در نظر گرفتن مقتضیات تجارت بین المللی کدام یک از این دو نظام حقوقی مقرراتی مناسب تر در این زمینه دارد؟ در مقاله حاضر، ضمن بررسی و مقایسه مقررات ایران و مصر، در زمینه شرایط اجرای احکام خارجی، تلاش می شود برخی ابهامات در این حوزه رفع و چشم اندازی روشن تر درخصوص شرایط اجرای احکام در این دو نظام حقوقی ارائه شود.

    سازمان های تعیین استاندارد در زمینه حقوق مالکانه اشخاص راهبردهایی مبتنی بر حقوق مالکیت فکری تدوین کرده اند که یکی از آن ها تعهد به اعطای لیسانس منصفانه و معقول و غیرتبعیض آمیز (فرند) است. این التزام در پیشبرد مزایای استانداردسازی از جمله تعامل پذیری، توسعه نوآوری، ارتقای رقابت، و افزایش رفاه مصرف کنندگان بسیار کارساز است. هدف نویسندگان مقاله حاضر این است که ضمن بررسی اهمیت استانداردهای فنی و نقش محوری سازمان های تعیین استاندارد در ایجاد و توسعه آن ها جایگاه لیسانس فرند را در تعیین و تجاری سازی فناوری های ضروری استاندارد تحلیل کنند. این نوشتار نشان می دهد چالش میان روند گزینش یک استاندارد و حقوق انحصاری ناشی از فناوری جدی است و در این میان حصول توافق میان سازمان های تعیین استاندارد و دارنده فناوری برای اعطای مجوز بهره برداری خاص به کاربران استاندارد فنی اهمیتی حیاتی دارد. ابعاد چنین موضوعی در حقوق ایران ناشناخته است و مقررات ویژه ای در این زمینه وجود ندارد و تمهید لیسانس اجباری نیز قادر به برآورد انتظارات و مطالبات مختلف این عرصه نیست. اما، تعمق در راهکارها و واکاوی رویه های موجود حقوقی می تواند در پیوند میان فناوری های مزبور و فرایند تعیین استاندارد راهگشا باشد و بستر حقوقی لازم را برای توسعه استانداردهای فنی مرتبط با دارایی های فکری مهیا سازد.

    طرح دعاوی طاری مختص مرحله بدوی نیست. در مرحله تجدیدنظر نیز ممکن است دعاوی طاری از سوی هر یک از طرفین دعوا یا اشخاص ثالث مطرح شود. با این حال، طرح این دعاوی در مرحله تجدیدنظر با محدودیت‏هایی روبه روست. اثر انتقالی تجدیدنظرخواهی مستلزم آن است که دادگاه تجدیدنظر فقط به آنچه در مرحله بدوی در دادگاه بررسی شده رسیدگی کند. با این حال، نفی کلی طرح دعاوی طاری در مرحله تجدیدنظر ممکن نیست. چون در بسیاری موارد، بدون طرح این دعاوی، رسیدگی دادگاه ناتمام و غیرموثر باقی می‏ماند. علاوه بر این، در مواردی اوضاع و احوال حاکم بر موضوع دعوا، پس از صدور رای بدوی، چنان دستخوش تحول می‏شود که رسیدگی دادگاه تجدیدنظر به‏ موضوع مورد رسیدگی دادگاه بدوی بی‏معنی و ناممکن است. این واقعیت‏های متناقض ایجاب می‏کند که رویه قضایی، ضمن پذیرش دعاوی طاری در مرحله تجدیدنظر، محدودیت‏های منطقی و قانونی آن را نیز مدنظر قرار دهد.

    شروط حل اختلاف چندمرحله‏ای چند مرحله نظیر مذاکره، میانجیگری، و داوری یا دادرسی قضایی را جهت حل اختلافات مقرر می‏دارند. چنانچه در زمینه قصد طرفین مبنی بر التزام به مراحل مختلف این شروط یقین وجود داشته باشد، مراجع ذی‏صلاح طرفین را اجبار به رعایت ترتیب مورد توافق می‏کنند. در زمینه این اجبار مسائلی شایان توجه است. در صورت طرح درخواست نزد داور، پیش از طی مراحل قبل، چه مرجعی برای اتخاذ تصمیم درخصوص این درخواست نابه هنگام صالح است و اثر اقامه درخواست نابه هنگام نزد داور یا دادگاه چیست؟ در این خصوص دو نظریه وجود دارد. گروهی این شروط را واجد ذاتی ماهوی می‏دانند. طبق این نظر رجوع نابه هنگام صرفا تخلفی قراردادی و موجب خسارت است و ناقض صلاحیت نیست. گروهی دیگر طبیعت این شروط را آیینی می‏دانند که رعایت ترتیب مراحل پیش از رجوع به دادگاه یا داور ضرورت دارد. در باب ماهیت تصمیم صحیح در مواجهه با درخواست داوری یا دادرسی نابه هنگام نیز دو نظر وجود دارد. در نظر اول درخواست نابه هنگام رد می‏شود. اما، در نظر دوم رسیدگی به درخواست نابه هنگام متوقف می‏شود و پس از تحمل ترتیب مورد توافق طرفین دوباره رسیدگی جریان می‏یابد. در این پژوهش، در هر دو مورد دیدگاه های اخیر دیدگاه های صحیح به شمار رفته اند.

    One of the most complicated issues of international private law is the study of moving conflict, which is pursued by specific and independent rules. In fact, this kind of conflict is a combination of conflicts of laws in place and time. The examination of conflict resolution rules and, in particular, the fixed or variable nature of dependency are in consensus and It has been accepted as a tool for limiting the scope of the moving conflict. Although the analysis of the nature of the relationship factor is in a situation that definitely gives a general overview of the extent of the effect of the moving conflict,but there are always issues such as contracts or companies that are skeptical to enter the range of moving conflict.

And also whether moving conflict is conceivable or not in the case of firm citizenship change and contracts whit regards to the principle of autonomy. however it is the place of dispute between the lawyers, They often reluctantly express the moving conflict of the firms.     The Notion and Procedure in “Indivisible Litigation” and “Indivisible Judgment” in our country is very vague and insufficient. We cannot find a simple definition on it so the concept and example of it is very delicate and controversial. This is also a matter of Jurisprudence and case law in our legal system. We do not recognize a reliable border between these two concepts. When the question is about separation of a “part of a litigation” this is the case of divisible litigation but when the case is “effects of a judgment” to other parties of a litigation that not have participated in way of attack on judgment the case is the indivisibility of judgment. The theory of representation between parties is not fully accepted in French Law and in our legal system sharing and transferring the effects of judgment has been allowed.

    Iranian courts procedure, according to well-known theory in jurisprudence and law , enforcing the perromisor to perform promise initially, on the condition that denying to perform .
    After wards if the obligation weren’t performable even by third party and warrantees cost promise(warrantee)would be allowed to terminate the contract.
    This precedent and its foundations have been planned for preventiny distabilizations of contracts and providing stability of treaties ,not only stabilize contracts but also contrarily brings anarchy, abuse of obligor in bad faith, annoyance of oblige in good faith ,delaly in adjudication and preclusion of wealth circulation and expedition of trades. This issu has been considered in judgemental precedent by this article and clarifying procedure and its bases lack of canonical, rational, legal foundation

    The Civil Procedure Law, despite the deadline for complaints from the judgments, has failed to express its rules, effects and details, and we face a number of shortcomings and silence in this regard, including the fact that the status of the application for a rehearing after the deadline explicitly not stated. Also, the status of early and premature complaints has not been determined. Most importantly, it has been neglected in relation to the time of the complaint beyond the deadline after the excuse has been resolved, and despite the legislator's attention to this issue in arbitration, it was neglected in court proceedings and provided the basis for the examination of various probabilities. The review of the issue shows that the reasonable and acceptable solution is accepting the renewal of moratorium on the complaint after the resolving of excuse.

    In accordance with the convention of the international sale of goods, the injured party as a result of a breach of contract is in order to take reasonable measures in order to reduce the damage, and if, while having the ability, he fail in this regard, it will not be compensated for the damages that can be avoided. The performance of inadequate and unreasonable measures will have the same result. Also, the costs of reasonable measures incurred injured party in reducing of damage are also considered as damages resulting from breach of contract, even if these measures do not provide the desired result. Based on the "reasonableness" condition that is considered in relation to the injured party actions in order to reduce the damage, these measures should indicate a reasonable effort and cost less than possible damages. This article tries to explain the concept of duty to mitigation of damage and to investigate related issues in the convention of the international sale of goods.

    The strategic role of information in generating wealth and power, is of great importance in the current world. Therefore, a massive data transfer cycle has been created. One of the ways to do contractual transfer can be the trading of information and data. But, the authenticity of such transactions depends on proving the propertyness of information. Because it is property which can be the subject of transactions. Therefore, in the present paper, benefiting from economic approaches (especially the economics of information) and legal rules governing the propertyness of objects, we tried to investigate the propertyness of information and some of the issues surrounding it such as; the legal nature of information. In this regard, we emphasized that information is not only an instance of property, but also a separate form of property, unless it takes on an innovative or creative form, in which case it will be among intellectual properties.

    In 2005, the majority shareholders who collectively owned over 70% of the shares in Yukos Oil Company initiated three arbitration proceedings against the Russian Federation administered under the Energy Charter Treaty (ECT) and UNCITRAL Arbitration Rules. In the arbitration, the claimants complained of arbitrary, unfair and discriminatory treatment, and an unlawful expropriation of the company by the Russian Federation. In response, the Russian Federation, initially, put forwarded jurisdictional objections regarding its inability to apply ECT context provisionally, especially Article 26 about settlement of disputes.
    On 30 November 2009 the arbitral tribunal issued an interim award on Jurisdiction and Admissibility and upheld its jurisdiction to hear the three cases. Finally, on 18 July 2014, the tribunal ordered the Russian Federation to pay damages in excess of USD 50 billion to the majority shareholders of Yukos Oil Company. This is by far the largest award ever rendered by an arbitral tribunal.
    The tribunal in the awards analyzed some main issues in investment dispute settlements which it has much to teach us in that regard. Thus, the principal aim of this article is to critically analyze the arbitral Award concerning the provisional application of ECT and other jurisdictional objections raised by Russian Federation.

    Nowadays, international private relations are increasing quickly and almost all legal systems consider applying the foreign law and enforcing foreign judgement as an indisputable issue. Nevertheless, the states don’t consider foreign judgements like domestic judgements. They try to control foreign judgements and so set certain requirements for enforcing these judgements. Whenever the requirements are satisfied enforcing of foreign judgements is possible. The legal system of Iran and Egypt are not excluded following this model. Some writings have been done about requirements of foreign judgements in Iranian and Egyptian law separately but there is an important question, “Are the requirements in the enforcement of foreign judgements in these states similar?” and considering international trade law problems which state’s regulations are appropriate? The essay surveys and compares Iran and Egypt’s regulations to enforce foreign judgements and eliminates some ambiguities in this subject and also shows clear overlook in requirements for enforcement of foreign judgements in Iranian and Egyptian Law.

    Facing proprietary rights of individuals, standard-setting organizations have developed strategies based on intellectual property rights. One of the most important strategies is the commitment to grant fair, reasonable and non-discriminatory (FRAND) licenses. This commitment plays an important role in advancing the benefits of standardization, including interoperability, development of innovation, promotion of competition and enhancement of consumer welfare. The present study is going to demonstrate the importance of technical standards and the role of standard setting organizations in their creation and development and analyze the key role of FRAND license in determination and commercialization of standard essential patents. This paper shows that there is serious challenge between the process of choosing a standard and the exclusive rights arising from a technology, therefore, it is crucial that standard setting organizations and technology holder reach an agreement to grant specific licenses to implementers of technical standards. The aspects of the subject are not known in Iranian law and there are no special provisions in this regard. Considering and analyzing of the existing approaches and legal procedures can be beneficial to link up these patents with the standard setting process.

    Bringing the incident actions is not limited to courts of first instance but these actions could bring in appeal courts. Nevertheless, bringing these actions in appeal courts is somewhat limited. The devolutive effect of appeal involve in transferring of what is preceded by court of first instance in appeal court. On the other hand, the absolute negation of bringing the incident actions in appeal court is not acceptable. The bringing of these actions, not only recognized in Iranian Law by some legal texts such as Articles 130 and 135 of Civil Procedure Act, but also in many cases, without bringing these actions the procedure remains inefficient or incomplete. On the other hand, in some cases issuance of first instance’s judgment or the changes of circumstances of the case result in impossibility or non-sense of procedure of appeal court. These contradictive facts describe how necessary is the acceptance of incident actions in appeal courts and simultaneously, the application of legal limitations to it.

    In case of certainty to the parties` intention to be bound by different stages of multi-tiered dispute resolution clauses, competent authorities enforce parties to follow these arrangement. In respect to this enforcement questions as below are noteworthy: if prior to following the pre-arbitral stage a claim is submitted to arbitral tribunal, what authority has jurisdiction over this immature request? What is the effect of this immature request before the arbitral tribunal or court? There are two views about the matter. Some consider this clauses a matter of substantive law.Thus immature application is just a contractual breach which entitles the other party for compensation but doesn`t violate the jurisdiction.Others suggests that these clauses are matters of procedural law and observing the pre-litigation or pre-arbitral stages are mandatory for parties.There are two opinions regarding the nature of the appropriate decision when dealing with the immature request before arbitral tribunal or courts.In accordance with the first viewpoint the request would be rejected but by the second viewpoint immature request would be stayed and after compliance with steps agreed upon by the parties, the claim would flow again. In this paper in both questions the latter arguments would be adopted as proper viewpoints.
