    برچیدن تاسیسات نفتی فرایندی است که به موجب آن تصمیم گرفته می شود چگونه تاسیساتی که به پایان عمرشان رسیده اند جابه جا و از رده خارج شوند. این موضوع نسبتا جدید به خصوص از دهه 1980م در سطح بین المللی توجهات زیادی را به خود جلب کرده و نگرانی های عمده دولت ها و صنعت نفت به طور کلی از آن زمان آغاز شده و تلاش های زیادی در جهت تبیین ابعاد مختلف آن صورت گرفته است. اگرچه این تلاش ها در روشن شدن ابعاد مختلف این موضوع موثر بوده اند، هنوز هم پرسش های متفاوتی به خصوص در زمینه ابعاد حقوقی آن باقی مانده است. پرسش اساسی به این باز می گردد که دولت ها در سطح بین المللی از یک سو، و کارفرمایان و پیمانکاران در قراردادهای توسعه و بهره برداری میدان های نفتی و گازی از سوی دیگر، نسبت به این موضوع چه تعهدی دارند؟ ازآنجا که در خصوص این موضوع در معاهدات بین المللی و منطقه ای تعارض وجود داشته و از طرف دیگر، شرایط و مفاد قراردادهای فی مابین کارفرمایان و پیمانکاران صنعت نفت و گاز در این خصوص معلوم و مشخص نبوده است، بررسی اسناد مختلف و همین طور حقوق داخلی کشورهای پیشرو در این عرصه و و قراردادهای بالادستی نفت و یافتن راه برون رفت از تعارض، موضوع اصلی این پووهش است.

    نظم عمومی به عنوان یک اصل در چارچوب قوانین ملی کشورها، ابزاری برای حفظ منافع خصوصی و عمومی در جامعه تلقی می شود. رعایت هنجارها و نظم عمومی هر کشوری تا آنجایی است که حتی می تواند قراردادهای اشخاص حقوق خصوصی در حوزه بین الملل خصوصی را تحت تاثیر قرار دهد. با شکل گیری حقوق جدیدی مانند حقوق مالکیت فکری در قوانین ملی کشورها و تاثیر پذیری آن ها از کنوانسیون های بین المللی مالکیت فکری در حوزه تعارض قوانین، شاهد ظهور اصول بین المللی با هدف حمایت حداکثری هستیم که بر قلمرو قوانین ملی کشورها بی تاثیر نبوده اند؛ به گونه ای که نقش آن ها می تواند برای انتخاب قانون حاکم به خصوص در دعاوی نقض حقوق مالکیت فکری قابل توجه باشد. در این مقاله سعی می شود با اشاره به کنوانسیون های بین المللی حقوق مالکیت فکری و شکل گیری یک نظم عمومی بین المللی تحت تاثیر این اصول، نقش آن ها برای انتخاب قانون حاکم بر چارچوب نقض این حقوق بررسی شود.

    داور یا قاضی خصوصی باید مستقل و بی طرف باشد. در حقوق داوری داخلی و تجاری بین المللی بسیاری از کشورها، داور علاوه بر استقلال و بی طرفی، تعهد دیگری به نام تعهد به افشا دارد که به موجب آن، او باید هرگونه روابط یا شرایط و اوضاع و احوالی را که ماهیتا بر قضاوتش موثر است و یا موجب شک و تردید عقلایی طرفین نسبت به استقلال و بی طرفی اش می شود، افشا نماید. تعهد به افشا را نباید با تعهد به استقلال و بی طرفی اختلاط کرد. در این مقاله وضعیت تعهد به افشا در منابع داخلی و بین المللی مطالعه می شود که می تواند راهنمایی برای داوران در سطح داخلی و یا بین المللی باشد.

    در قوانین مختلف، سند به عنوان یک دلیل معتبر به رسمیت شناخته شده، اما در ماده 1335 قانون مدنی از تعبیری استفاده شده است که گویا حجیت آن را به عنوان یک دلیل مستقل انکار کرده و اثر آن را محدود به این ساخته است که مستند و مقدمه علم قاضی قرار گیرد؛ بنابراین، بیان قانون گذار در این ماده در خصوص سند، با سایر مواد آن قانون و مواد قوانین دیگر در این خصوص، ناهماهنگ است و اعتبار سند را با تردید مواجه ساخته است. در پژوهش حاضر بر تحلیل این موضوع و ارائه راه هایی برای رفع این ناهماهنگی و اثبات این امر تلاش شده است که همچنان اعتبار سند به عنوان یک دلیل مستقل، انکار ناپذیر است.

    به موجب شرط انحصار یا تمامیت متن کتبی قرارداد که به ویژه در قراردادهای تجاری، جزء مواد ثابت و شروط استاندارد شده است، حقوق و تعهدات طرف ها به متن کتبی قرارداد منحصر و محدود بوده، زیرا قرارداد، مستقل از مذاکرات پیشین و روابط قبلی است وهرچه مورد گفتگو ومذاکره طرف ها قرار گیرد، اما در متن کتبی قرارداد وارد نشود، از آن خارج است. به این ترتیب، مذاکرات، روابط و توافق های پیش از قرارداد که در متن کتبی وارد نشده اند، بخشی از مفاد قرارداد تلقی نمی شوند. قلمرو و اثر شرط انحصار متن کتبی قرارداد، به ویژه در صورت ابهام یا نقص و خلا قرارداد، موضوعات مورد توجه این پژوهش است. با این فرضیات که تفسیر اراده طرف های قرارداد را نمی توان در خلا و بدون عرف و عادت و شروط ضمنی و بنایی به انجام رساند و بر مبنای اصل حاکمیت اراده، این نتیجه حاصل می شود که وجود شرط انحصار مانع تفسیر یا کشف اراده طرف های قرارداد از طریق سایر منابع قراردادی و وسایل غیرمکتوب از قبیل عرف وعادت نیست. در تعیین حقوق و تعهدات قراردادی، ارزش این شرط تنها ایجاد اماره و فرض بر شامل نشدن حقوق و تعهدات مطرح شده در روابط و مذاکرات پیش از قرارداد در قرارداد مکتوب فعلی است و البته خلاف آن با اصول حاکمیت اراده و منع رفتار معارض قابل اثبات است. اراده طرف های قرارداد، با هر وسیله ای که احراز شود، و سایر منابع قراردادی، به ویژه عرف، بر قرارداد حاکم اند و حقوق و تعهدات قراردادی را تعیین می نمایند.

    هر کشور بنابر ملاحظات قانون اساسی و بنیان های فرهنگی و اجتماعی خویش دارای نظام حقوق بین الملل خصوصی مختص به خود است. در خصوص کشورهای با نظام فدرال، مانند ایالات متحده امریکا، این امر نه تنها میان قانون این کشور و قوانین کشورهای دیگر به وجود می آید، بلکه به صورتی متمایز میان ایالت های کشور امریکا نیز وجود دارد. اتحادیه اروپایی نیز در وضعیت مشابهی قرار دارد، زیرا گرچه جمع این کشورها باعث ایجاد یک نظام فدرال نشده، اما از بعضی جنبه ها دارای ویژگی های نظام فدرال است. این مقاله در صدد است تا با رویکردی توصیفی- تحلیلی و تطبیقی، ویژگی های نظام حل تعارض بین ایالتی ایالات متحده و بین دولی اتحادیه اروپایی را بررسی کند، تا با فرض این نکته که اندیشه ایجاد اتحادیه اروپای ملهم از اصول فدرالیسم است، پاسخ این پرسش را در یابد که نظام حل تعارض قوانین دولت های عضو اتحادیه اروپایی چه وجوه افتراق و اشتراکی با نظام حل تعارض موجود در کشورهای فدرال دارد. این نوشتار در پایان به این نتیجه می رسد که اتحادیه اروپایی دارای ویژگی های منحصر به فرد بوده که نظام حل تعارض اتحادیه اروپایی را از نظام های فدرالی در این حوزه متمایز کرده است.

    حضور خواهان و خوانده آثار و ضمانت اجراهای متفاوتی دارد؛ اگرچه قانون مقرر کرده است که حضور نداشتن هریک مانع رسیدگی نیست. راهکار کنونی ممکن است ابطال دادخواست یا صدور رای غیابی باشد. راه حل فقه امامیه، قوانین سابق آیین دادرسی مدنی و حقوق فرانسه در این باره یکسان نیست. در فقه مفهوم حضور خواهان و خوانده در مشارکت شخصی ایشان در دادرسی ظاهر می شود و بسیار متفاوت از برداشت کنونی است. در فرانسه، صدور رای غیابی در خصوص خواهان نیز ممکن است که به رای اصطلاحا تقابلی معروف است و نسبت به خوانده نیز رای غیابی صادر می شود، اما روش های متعددی در جریان دادرسی و اعتبار رای غیابی مورد توجه است تا مصادیق رای غیابی بسیار کم شود. قوانین سابق ما نیز از جنبه های مختلف قابل مطالعه و بررسی هستند. آنچه می تواند مورد تاکید قرار بگیرد، این است که افزودن بر شمار آرای غیابی و گشاده دستی در قبول واخواهی لزوما برابر با تضمین حقوق خواهان یا تامین حقوق دفاعی خوانده نیست.

    تروریسم یکی از شوم ترین پدیده هایی است که امروزه به صورت ناجوانمردانه مانند طاعونی زندگی اشخاص بی گناه را تهدید کرده و چهره انسانیت را خدشه دار نموده است. پدیده ای که همواره بوده، اما امروزه چهره خاصی یافته و شیوع آن زنگ هشداری برای جوامع است. برخورد با این پدیده زشت اصولا در حقوق های کیفری دنیا مطرح شده است. اما این پدیده عده ای را متحمل خسارات شدیدی کرده است که در فرانسه به «فراموش شدگان تروریسم» مشهور شده اند. امروزه این پدیده جای خود را در میان مباحث مسئولیت مدنی نیز باز کرده و این پرسش مطرح شده است که چه شخصی باید این خسارات را جبران سازد که در این مقاله برای تعیین مسئول جبران چنین خساراتی با کمک حقوق فرانسه مطالبی ارائه می شود.

    Oil installations decommissioning is process by which will be decided how moved or dismantled the installations that have reached to end of their lives. Although this is a relatively new topic but especially since the 1990, has attracted much attention at the international level, and a major concern for governments and industries since that time is removal of these installations, and for this reason much efforts has been made to explain various aspect of this topic. Although these efforts have been effective in clarifying various aspect of the decommissioning but still many question especially about the legal aspect of it remains. The main question about this topic is, what is the state’s obligation in the international level? Since we’re not sure on the issue, study of the various documents in the international and inter-regional level and examining of domestic laws of the leading countries on the issue and finding a way for resolving of the problems is the main purpose of this paper.

    Public order, as a principle in the framework of national laws, is a tool for protecting private and public interests in a society. Observance of the norms and public order in any jurisdiction are important as far as it is undeniable the influence of this chariness on contracts in the field of private international laws. With the formation of new rights such as intellectual property rights in the regime of national laws and their influence from international conventions in the field of conflict of laws, some international norms have entered into the realm of national laws; So as to choose the law governing their role, especially in infringement cases of intellectual property rights is extremely significant.In this paper we are to investigate the influence of international norms to select a governing law in the framework of infringement of these rights.

    Arbitrator or private judge must be independent and impartial. Domestic and international commercial arbitration law in many countries in addition to the obligation the independence and impartiality of arbitrator, has other obligations, namely the obligation to disclose. Arbitrator must disclose any relationship with the parties to arbitration. Commitment to disclosure should not be mixing with the obligation of independence and impartiality. In this paper, the obligation to disclose the sources of domestic arbitration and international trade were studied to help guide domestic and international arbitrators.

    In different Codes, document is recognized as a valid evidence, but In the Article 1335 of the Civil Code it is used an expression that denys its validity as an independent evidence and limits its effect to be documentary and as introduction of knowledge of Judge; So the expression of the legislator in this Article about the document is inconsistent with other articles of that code as well as with articles of other code in this case and casts doubt on the validity of the document. In this research, tries to analisis this question and offer some ways for resolution of this inconsistent and to provie that the validity of document as an independent evidence is still undeniable.

    A contractual relationship is commonly based on statements, expectations, acts and omissions out of which some will, and others will not, give rise to contractual obligations. To avoid uncertainty as to what is agreed, the contract parties often enter into a written contract that is supposed to express the final agreement between them and prevent the parties from relying on rights and obligations not set out in the written contract. Under the Entire contract clause, which so-called “boilerplate” clause in a variety of commercial contracts, the Contract contains entire agreement and understanding between the parties hereto and supersedes all prior negotiations, representations, undertakings and agreements of the Contract.
    EA-clause operates with a distinction between the determination of the terms of the contract and their subsequent interpretation. Even though the writing of the contract contains all the terms of the agreement, other statements or agreements may be used to interpret the writing. EA-clause does not mean that the contract document is to be considered an exhaustive regulation of the contractual relation. The provision in the EA-clause stating that the contract is “the entire agreement” should not be understood literally. The clause has limited effect on the process of interpretation, it does not impose derogation from all other sources of law than the contract, but rather that a party’s expectations must be based on other sources than pre-contractual circumstances in order to be deemed reasonable.

    On the basis of constitution and social and cultural contexts, each country has its own private international law system. Communication growth, as well as social and economic interchanges on the international scene, inescapably, may cause conflict of laws. Concerning countries with federal system like, United States of America, conflict of laws not only may occur between laws of the United States and law of the other countries, but also in a distinctive manner, among states of the USA together. European Union is in the same situation. Although, the convention of states in Europe does not frame a federal system, but it has some federal characteristics, in some respects. , considering the premise that the creation idea of the European union has been inspired by federalism principles, The purpose of this contribution is, with a descriptive and analytic- comparative manner, to explore the interstate and member states traits of conflict of laws solution systems in USA and EU in order to, answer the question that what are the differences and resemblances of EU member states conflict of laws solution system and the systems of federal countries. Finally, this paper, conclude the European Union has unique characteristics which differentiate its conflict of laws solution system from federal systems.

    Claimant and defendant’s presence consequences and sanctions are different if the legislator said that their default is not any obstacle for proceeding. Current remedy is annulling the claim or default judgment. This remedy is different before Islamic Law and our past Laws and French Law. The notion of presence in Islamic Law is personal presence and so is different from its current notion. In French law, it is possible to judge as default judgment about claimant but there is many ways to reduce the number of default judgment in litigation or enforcement proceeding so that default judgment is rare. Also our past laws may be studied in different aspects. We can emphasized that having many default judgment and accepting the opposition easily is not necessarily in accordance with claimant or defendant’s rights.

    Terrorism is one of the most sinister phenomena that as cowardly and like the plague threat the lives of innocent people and it has tarnished the image of humanity. A phenomenon that has always been but today it has a special face and its prevalence is an alarm for communities. Deal with this phenomenon has been in criminal law. But this phenomenon does damage to some people that in France, they have been known " forgotten victims of terrorism"
    Today, it is discussed in civil liability and the question is who should compensate these losses that in this article this question to determine the responsible is presented with the help of French law.
