Examining the civil and criminal liability of a joint-stock company (bank) due to the actions of its governing bodies
The purpose of the current research is to investigate the civil liability of a joint stock company (bank) due to the actions of its governing bodies with a view to international law (Iran, America and England) based on the comparative research method. Today, joint-stock companies are responsible for a wide range of economic and commercial activities; Based on this, it will not be far from expected that as a result of their activities, damages will be inflicted on other people. For this reason, the ambiguity in the legal regime governing their civil responsibility brings the rights of a wide range of people under its radius; Although the examination of the various aspects of the civil responsibility of these persons as one of the challenging legal categories has been the attention of the writers, legislators and the opinions of the courts of Iran; However, considering that the roots of the formation of joint-stock companies should be sought in the field of countries with international legal systems, such as the United States and England, the study of the laws and procedures of the aforementioned legal systems can be used as a model to overcome the ambiguities of the system. Iranian law should be used.
