    غایت مطلوب هر نظام حقوقی تدوین قوانینی جامع الاطراف است تا بر پایه آن، شهروندانش به هنگام بروز مشکل، حقوق قانونی خود را به نحو مقتضی استیفا نمایند و به ناروا ظلمی برکسی نرود. بدین منظور کافی است قاضی با ترتیب دادن قیاس قضایی، موضوع محل نزاع را با قاعده ای که در نظام حقوقی برای این موارد پیش بینی شده (کبرا) تطبیق نموده و نتیجه بگیرد. واقعیت قضایی نشان می دهد که این تحلیل بسیار ساده انگارانه و دور از واقع است. نه تنها تشخیص تحقق موضوع (صغرا) با پیچیدگی های فراوان همراه است بلکه به دلایلی همچون ابهام، نقص و تعارض در قوانین، تشخیص قاعده حاکم بر دعوا نیز با چالش جدی روبروست. در اغلب موارد قاضی با چند راه حل مواجه است. اینجاست که پای قواعد تفسیری برای کمک به ترجیح یکی از احتمالات به میان می آید اما قواعد تفسیری نیز بر خلاف قواعد منطق صوری فاقد وصف ضرورت بوده و امکان اجرای همزمان دو یا چند قاعده تفسیری با نتایج متعارض در یک مورد منتفی نیست. در عمل مهم ترین عاملی که بر دادرس در انتخاب یکی از چند راه حل مختلف تاثیر می گذارد، شهود و عرفان حقوقی دادرس است؛ هرچند این کارگزار پنهان خود را در زیر قواعد تفسیری پنهان می نماید.

    منصفانه بودن شرط وجه التزام و تناسب آن با خسارت واقعی از ضوابط اصلی شرط تقویم قراردادی خسارت ناشی از تاخیر در اجرای قرارداد های پیمانکاری است. طرفین یک قرارداد بایستی زیان را با پیش بینی و محاسبه خسارات واقعی تقویم نمایند و در عین حال از هدف مجازات و تنبیه طرف نقض کننده بپرهیزند. ضابطه اصلی در تعیین مبلغ وجه التزام تناسب نسبی آن با خسارات واقعی و منصفانه بودن آن است و عدم رعایت این معیارها موجب می گردد، دادگاه با نادیده گرفتن توافق قراردادی از اعمال و اجرای شرط، اجتناب نموده و مطابق اصول کلی، زیان ها را محاسبه و تعیین کند و در مواردی نیز با دخالت و تصرف در حوزه توافق قراردادی طرفین، آن را تعدیل نماید. علاوه بر این مطابق مقررات بیشتر کشورها و اصول حقوق تجارت بین الملل اگر بخشی از کار تکمیل و تحویل داده شود و یا در موردی که پیمانکار عمدا تاخیر نموده است، مبلغ تعیین شده، قابل مطالبه نیست و به دادگاه ها اجازه تعدیل داده شده است. در حقوق ایران ماده 230 قانون مدنی که حاکم بر تعیین مبلغ مقطوع خسارت است، نه تنها همگام با مقررات دیگر کشورها و عرف بین المللی حاکم در این زمینه نیست بلکه در حوزه داخلی نیز چالش های جدی در پی دارد. به نظر می رسد برای رفع این نقیصه بهتر است در صورت گزاف بودن مبلغ و یا موردی که طرف، بی جهت دارا می شود، با نامشروع تلقی نمودن شرط، مانع نتایج زیانبار و غیرمنصفانه آن گردید.

    مطابق بند 2 ماده 79 کنوانسیون وین 1980، اگر عدم اجرای قرارداد توسط متعهد، ناشی از قصور شخص ثالثی باشد که متعهد او را برای اجرای تمام یا قسمتی از قرارداد به کار گرفته است، طرف مزبور (متعهد قرارداد) تنها در صورتی از مسئولیت معاف است که به موجب بند اول ماده 79، از مسئولیت معاف باشد و متصدی انجام تعهد از جانب او نیز، در صورت اعمال مقررات بند 1 ماده 79 بر او، از مسئولیت مبری باشد... .» آنچه که در این ماده بحث برانگیز بوده، از یک طرف شرایطی است که باید یک شخص درگیر در قرارداد، دارا باشد تا بتواند به عنوان شخص ثالث مندرج در بند 2 ماده 79، محسوب گردد و دیگر اینکه آیا تامین کنندگان کلی، شخص ثالث محسوب می شوند یا خیر؛ از طرف دیگر آیا تحمیل قاعده خاص بند 2 ماده 79 و لزوم قوه قاهره دوگانه، ضروری بوده است؟
    به نظر می رسد علی رغم تفسیرهای مضیق موجود به نفع کشورهای صادرکننده، وجود چنین مقرره ای سبب افزایش موانع معافیت بایع و در نتیجه کاهش موارد معافیت بایع نسبت به اعمال اشخاص ثالث، در برابر خریدار می گردد. در حقوق ایران نیز عدم اجرای چنین اشخاصی اگر مطابق قاعده کلی نسبت به بایع قوه قاهره محسوب شود، بایع می تواند برای معافیت از مسئولیت در برابر خریدار بدان استناد نماید، هرچند عدم اجرای خود ثالث، ناشی از مواجهه با قوه قاهره نباشد.

    امروزه با توجه به افزایش جمعیت جهان و کمبود منابع آب و همچنین زمین های حاصلخیز، استفاده از کودها و سموم آفت کش به منظور افزایش تولید محصولات کشاورزی در واحد سطح، افزایش چشمگیری یافته است. این ترکیبات با وجود منافعی که دارند، آثار زیانباری نیز بر سلامت انسان، محصولات کشاورزی و همچنین محیط زیست بر جای می گذارند.
    یکی از مسائل حایز اهمیت مسئولیت مدنی ناشی از این ترکیبات است. به نظر می رسد در تحلیل مسئولیت مدنی ناشی از کودها و سموم آفت کش، می باید به سمت مسئولیت بدون تقصیر رفته و به نظریه خطر استنادکرد؛ زیرا اغلب اشخاص در قالب شرکت های بزرگ و با هدف انتفاع و سود بیشتر به ورود، ساخت، فرمولاسیون و مصرف کودها مبادرت می ورزند.
    به علاوه، مسئولیت مدنی در این حوزه با چالش های جدی مواجه است؛ زیرا معمولا زیان ها و خسارات ناشی از کودها و سموم دفع آفات نباتی تدریجی و پنهان بوده و از اسباب مختلف حاصل می شود و از طرفی نیز، شناسایی مسبب اصلی و همچنین محاسبه میزان خسارت با دشواری فراوان همراه است.
    تصویب مقررات خاص و موثر درخصوص فرمولاسیون، ورود، توزیع و مصرف کودها و سموم دفع آفات نباتی، استفاده از مدیریت تلفیقی آفات و توجه ویژه به مبارزه بیولوژیک، گسترش کشت ارگانیک و اطلاع رسانی و گسترش فعالیت های ترویجی در بین کشاورزان، از جمله راهکارهای موثر جهت پیشگیری و تقلیل خسارات ناشی از کودها و سموم آفت کش می باشند.
    نوشتار حاضر تلاش کرده مبانی و شرایط مسئولیت مدنی مربوط به این مسئله و نیز شیوه جبران خسارت و چالش های فرارو را با توجه و تطبیق بر مقررات کشور استرالیا بررسی نماید.

    مسئولیت بین المللی ناشی از خسارات زیست محیطی، یکی از موضوعات حقوقی مهمی است که در تنظیم روابط بین دولت ها بسیار موثر است. ارزیابی مختصر و اجمالی حاضر از وضعیت حقوقی غالب در خصوص مسئولیت بین المللی ناشی از تغییرات آب و هوایی در حقوق بین الملل نشان می دهد، اگر چه شمار قابل توجهی از معاهدات بین المللی تاسیس رژیم مسئولیت بین المللی ناشی از تغییرات آب و هوایی را به عنوان یک رژیم خود بسنده الزامی می داند، لیکن رژیم مذکور هنوز ایجاد نشده است و باید از قواعد عام مسئولیت بین المللی دولت در این زمینه استفاده کرد. در این رابطه مفهوم ایراد خسارت به محیط زیست در حقوق بین الملل آشکارا شناسایی شده است. حقوق بین الملل و حقوق داخلی در زمینه مسئولیت خسارات ناشی از تغییرات آب و هوایی نیازمند تکامل هستند اما این عدم تکامل مانع از برقراری رژیم مسئولیت بین المللی دولت ناشی از تغییرات آب و هوایی نمی تواند باشد. استفاده از قواعد عام مسئولیت بین المللی دولت و عزم جامعه بین المللی در ایجاد مسئولیت بین المللی دولت برای جلوگیری از خسارات همگانی تغییرات آب و هوایی، می تواند نقطه شروعی برای ایجاد رژیم های خاص در این زمینه باشد.

    برای تحقق مسئولیت مدنی وجود سه رکن، زیان، زیان دیده و رابطه سببیت، ضروری است که از زیان در گفتمان فقه و حقوق با عنوان ضرر تعبیر شده است. مقاله حاضر به صورت تطبیقی در بحث از ضرر و مبانی آن در خسارت های زیست محیطی می پردازد. نکته اساسی آن است که خسارت زمانی محقق می شود که تلف یا اتلاف مال غیر به وقوع پیوندد؛ بنابراین اثبات مسئولیت مدنی در گرو اثبات مالیت مواهب طبیعی مورد تخریب است تا با آسیب به آن، ضرر تحقق یابد، پس اثبات مالیت و به تبع آن مالکیت مواهب طبیعی در مرحله آغازین گفتگو از مسئولیت مدنی در قبال آسیب های زیست محیطی قرار دارد. بر این اساس لازم است انواع ضرر مورد بررسی قرار گیرد و سپس با تمسک به عمومات و اطلاعات فقهی و حقوقی در حقوق داخلی و خارجی مال بودن مواهب طبیعی مورد بحث قرار گیرد؛ از جمله موارد قابل استناد در فقه فتاوای برخی فقها در احکام اسلامی است که می تواند مالیت مواهب طبیعی و سپس اثبات مالکیت آن برای عموم را ترسیم نماید، تا پس از تخریب بتوان حکم به مسئولیت در قبال آن داد.

    مقاله حاضر ضمن تحلیل و بررسی ابعاد حقوقی، تاریخی و فلسفی ماده 9 و بند (ج) ماده38 (1) اساسنامه دیوان بین المللی دادگستری، در تلاش است رویه قضایی دیوان را نسبت به ظرفیت های نظام حقوقی اسلام بررسی و تحلیل کند. از سال1969 توجه دیوان و قضات آن به حقوق اسلام افزایش یافته است. در متن دو رای و نیز در نظرات جداگانه و مخالف تعدادی از قضات به ارتباط قواعد و اصول اسلامی با مفاهیم حقوق بین الملل پرداخته شد. دیوان بر اساس ماده 50 اساسنامه می تواند با استفاده از کارشناسان به مطالعه تطبیقی قواعد و اصول اسلامی با مفاهیم حقوق بین الملل بپردازد. از این طریق هم بر غنای آرا و احکام دیوان و نظرات جداگانه قضات درباره حقوق اسلام خواهد افزود و هم فرصتی برای رهیافت های این نظام حقوقی در توسعه حقوق بین الملل و حل و فصل اختلافات بین المللی خواهد بود.

    گاه برای قصاص نفس یا مادون نفس، نیاز به پرداخت مقداری دیه به قصاص شونده است که از آن به فاضل دیه یاد می شود. فاضل دیه احکامی خاص خود را دارد. گرچه در کتاب قصاص قانون مجازات اسلامی 1392، فصلی با عنوان فاضل دیه دیده نمی شود، اما قانونگذار به طور پراکنده، مواد مختلفی را بدان اختصاص داده است. مقاله پیش روی با رویکردی فقهی حقوقی به بررسی احکام فاضل دیه می پردازد و ضمن تبیین مبانی و مستندات مواد قانون مجازات اسلامی 1392 در این زمینه، انتقادها و پیشنهادهایی در این باره ارائه می نماید. اینکه پرداخت کننده فاضل دیه کیست و زمان آن چه موقع است و مالک فاضل دیه قصاص شونده است یا اولیای او و نیز اینکه پرداخت فاضل دیه شرط پیدایش حق قصاص است یا تنها تکلیفی است که متوجه قصاص کننده است و در نهایت شیوه محاسبه فاضل دیه، بخشی از مباحث این مقاله را تشکیل می دهند.

    ظلم به حیوانات از جرایم شناخته شده در حوزه های قضایی کشورهای مختلف است. اما متاسفانه مقررات کیفری ایران از این جهت بسیار ناقص بوده و به جز مقررات معدودی مستند عام در این خصوص ندارد. در این مقاله با برررسی مبانی جرم انگاری و ارکان تشکیل دهنده سعی گردیده است این جرم با استفاده از مقررات کیفری برخی کشورهای غربی به ویژه ایالات متحده و فرانسه به جامعه حقوقی کشورمان و مراکز حمایت از حقوق حیوانات معرفی گردد. سوال اساسی تحقیق این است که اولا: مبانی جرم انگاری ظلم به حیوانات چیست و اثر انتخاب هرکدام از این مبانی بر ارکان جرم چه خواهد بود؟ و ثانیا: با توجه به بافت فرهنگی و اقتصادی ایران کدام مبنا برای جرم انگاری مناسب کشورمان است؟ مبنای جرم انگاری در این جرم می تواند فایده گرایی به صورت جلوگیری از زیان به انسان از طریق جلوگیری از زیان به حیوان ویا اخلاق گرایی یعنی غلط بودن نفس اعمال خشن نسبت به هر موجودی اعم از انسان یا حیوان باشد. به نظر می رسد دیدگاه اول به جرم انگاری حد اقلی و دیدگاه دوم به جرم انگاری حد اکثری منجرگردد. با توجه به عدم وجود بستر های فرهنگی لازم در کشورمان و علی رغم وجود مبانی شرعی کافی در رعایت حقوق حیوانات در حال حاضر الگوی حد اقلی برای جرم انگاری این عمل در مقررات کیفری ایران مناسبت بیشتری دارد. در چنین الگویی عنصر مادی جرم هر گونه رفتار ظالمانه عمدتا بر جسم حیوان به صورت کشتن یا ایراد رنج غیر ضروری است. موضوع جرم نیز حیوانات از نوع مهره داران هستند و در عنصر معنوی نیز غالبا جرمی عمدی است. از نظر مجازات در کشور هایی که این عمل جرم انگاری شده است، بیشتر درجه جنحه ای دارد. روش تحقیق به صورت توصیف این موضوع و سپس تحلیل آن با استفاده از منابع موجود بر اساس قوانین و دکترین کشورهای منتخب بوده است.

    در خصوص اینکه خسارات دادرسی مدنی به کدام طرف می بایست تحمیل شود، دو قاعده در دنیا وجود دارد؛ «قاعده آمریکایی» که مبین آن است که هر طرف می بایست، خسارات دادرسی راجع به خویش را متحمل شود و «قاعده انگلیسی» که بیانگر پرداخت خسارت توسط محکوم علیه به محکوم له است. قاعده دوم به دلیل دسترسی به عدالت منطقی، حق دادخواهی، حقوق و وظایف ناشی از آن بر قاعده اول ترجیح دارد. جبران حق الوکاله به میزان تلاش وکیل محکوم له، همچنان که در برخی مناطق نظیر اسکاتلند رایج است با عدالت و واقعیت های موجود سازگاری بیشتری دارد. نظام دادرسی مدنی ایران، با پذیرش «قاعده تسبیب» و مبنای «تقصیر» نظامی مجزا و حد واسط دو قاعده یاد شده را پایه ریزی نموده است و قیود و شروط قانون آیین دادرسی مدنی آنچنان سختگیرانه طراحی شده که نه تنها جبران حق الوکاله، بلکه جبران سایر خسارات دادرسی طرف محکوم له را غیرممکن ساخته است.

    The ultimate goal of any legal system is to codify comprehensive laws, based on which its citizens would obtain their legal rights efficiently when in trouble, and no injustice would be done to anybody. For this purpose it is enough for the judge to arrange a legal analogy, conform the case to a preexisting rule (Major Premise), and conclude. The judicial facts prove this analysis to be simplistic and far from reality. Not only identifying the subject (Minor Premise) comes with great complexities, but also due to reasons such as ambiguity, flaws ¬¬and conflict of laws, determining the applicable law is faced with serious challenges. In most cases, the judge is faced with a number of solutions. The interpretive rules would be useful here to prefer one of the possibilities. But unlike rules of formal logic, rules of interpretation lack the necessity feature, therefore it is not impossible to apply more than interpretive rule, with conflicting results in one case. In practice, the most important factors assisting a judge to choose a solution are intuition and legal mysticism of the judge. However, this secret agent conceals itself under the rules of interpretation.

    The main criterion of the evaluation of the damages caused by the delay in the execution of the construction contracts is the fairness of the liquidated damage clause and its proportionality with the actual damage. The parties of the contract must be able to evaluate the damages by forecasting and calculating the actual damages, while avoiding the purpose to punish the party who violates the contract. The main criterion in determining the amount of the liquidated damage is its relative proportional to the actual damages and its fairness, and failure to comply with this criteria will cause the court, by ignoring the contractual agreement, to avoid applying and enforcing the clause and calculates the damages and determines it according to general principles and in some cases adjusting it by interfering in the scope of the partie's agreement. In addition, in accordance with the provisions of most countries and principles of international trade law, if a part of the contract is completed and delivered or, in the case of which the contractor has intentionally delayed, the amount specified is not claimed and the courts are allowed to modify. Article 230 of the Civil Code, which regulates the determination of the amount of damages, is not in accordance with the rules of the other countries and the international customs governing this matter, and also faces serious challenges in national scene. It seems that in order to overcome this problem and prevent its harmful and unfair results, it would be better to consider the clause illegal if the amount is exaggerated or if the party is possessor unduly.

    According to the second paragraph of Article 79 of the Vienna Convention of 1980, if the party's failure is due to the failure by a third person whom he has engaged to perform the whole or a part of the contract, that party is exempt from liability only if: he is exempt under the preceding paragraph and the person whom he has so engaged would be so exempt if the provisions of that paragraph were applied to him. The controversial issue of this Article, on the one hand, is the conditions that a person involved in a deal should have in order to be considered as a third person as mentioned in the second paragraph of Article 79, and whether general suppliers are regarded as third person or not. On the other hand, the question is whether the imposition of certain rule of second paragraph of Article 79 and necessity of double Force Majeure, are essential? It seems that regardless of narrow interpretation in favor of exporting, such regulation increases the obstacles of seller exemption and consequently, decreases the examples of exemption of seller for the third person actions before the buyer. In Iranian law, if the non-performance is Force Majeure to the seller according to the general rule, the seller can use it as an excuse before the buyer; Even if non-performance of the third person, is not actually caused by Force Majeure.

    Today, due to the increasing population of the world and the shortage of water resources and fertile lands, the use of fertilizers and pesticides to increase agricultural production per unit area, has increased dramatically. Despite the benefits of these compounds, they also have harmful effects on human health, agricultural products, and the environment. One of the important issues is the civil liability arising from these combinations. It seems that in the analysis of civil liability caused by fertilizers and pesticides, one has to lean towards strict liability and refer to the risk theory; because most people proceed to import, manufacture, formulize and use fertilizers, in form of large companies with the sole purpose of profit and gaining more interests. In addition, liability in this area faces serious challenges, because usually damages and losses caused by fertilizers and pesticides occur gradually and stealthily and have different causes; on the other hand, identifying the main cause and calculating the amount of damages are quite difficult. Legislating specific and effective regulations regarding import, formulization, distribution and utilization of fertilizers and pesticides, using Integrated Pest Management (IPM) and paying special attention to biological pest control, developing organic farming and raising awareness and promoting activities among farmers, are some of the effective solutions in order to prevent and decrease damages caused by fertilizers and pesticides. Present paper tries to explore the foundations and conditions of civil liability regarding the matter, also studies the remedies and compensation possibilities and challenges ahead in comparison and in compliance with Australian regulations.

    International responsibility arising from environmental damages is one of the important legal issues that is very effective in regulating relations between governments. The present review of the prevailing legal status of international responsibility arising from climate change in international law shows that although a significant number of international treaties have required the establishment of an international climate change regime as a self-sufficient regime, such regime is not established yet and General rules of international responsibility of the state should be followed in this context. In this regard, the concept of damaging the environment in international law is identified. National and international law need improvement regarding damages arising from climate change, however the lack of improvement is does not prevent the establishment of a regime of state international responsibility for climate change. Applying general rules of international state responsibility and the determination of the international community to establish international state responsibility to prevent public damages of climate change can be stepping stones to creating specific regimes in the matter.

    Three elements are needed to form civil responsibility: harm or injury, injured party, and connection between defendant and injury. The injury element is talked about in law and jurisprudence as “harm”. Present paper comparatively studies harm and its basis in environmental damages. The essential point is, damages occur when loss or waste of another’s property happens, therefore proving liability depends on proving that natural resources are considered property so that damaging them would constitute harm. Therefore discussing whether natural resources are property and consequently discussing their ownership is the first stage of discussion about liability regarding environmental damages. Accordingly, it is necessary to explore different kinds of harms, and then using general reasons and legal and jurisprudential information in national and international law, the question of natural resources being property could be debated. Among reasons to be cited are fatwas by Islamic jurisprudents in some Islamic rules which could prove natural resources to be property and then prove their ownership for public, using them, damaging these resources could result in liability.

    Analyzing and dealing with historical, legal and philosophical aspects of articles 9 and 38(1) (C) of International Court of Justice Statute, present paper tries to explore the procedure of ICJ for capacities of Islamic Legal System. Since 1969 ICJ and its judges have paid increasing attention to Islamic Law. In the text of two judgments and also different and contradicting opinions of a number of judges, the relationship between Islamic rules and principles and International Law concepts have been discussed. ICJ, based on article 50 of its statute can do a comparative study between Islamic rules and principles and International Law concepts, with the help of experts. This not only assures the enrichment of judgements of ICJ and its judges’ opinions on Islamic Law, but also creates opportunities for this legal system to be approached in the development of international law and the peaceful settlement of international disputes.

    Sometimes for Qisas al-nafs (Qisas for life, execution) or less than it, some amount should be paid to the one who is to be retaliated. This amount is called difference of blood-money (diyah). There are certain rules for difference of blood money. Though there is no chapter called “Difference of Blood-Money” in the Qisas Book of Islamic Penal Code of 1392/2013, the legislator has dispersedly devoted some articles to it. Adopting a juridical-legal approach, the present article will study the rules of difference of blood-money and, while explicating foundations and documents of the articles of Islamic Penal Code which are relevant to this case; it will provide some critiques and comments. For example, who will pay difference of blood-money and when. Who owns difference of blood money? The one who is to be retaliated or the family? Is it an obligation only for one who demands Qisas? And, finally, how will difference of blood-money be calculated? These are various parts of the present article.

    Animal cruelty is a known crime in many jurisdictions. However Iranian Criminal Laws are scarce and insufficient and apart from some general rules, there are no documents in this regard. This paper, through reviewing the foundations of criminalization and constituent elements, tries to introduce this crime to legal community of our country and to the centers for the protection of animal rights, while using criminal laws of some western countries especially United States and France. The main question is, firstly what are the foundations for criminalization of animal cruelty? How are the elements of crime affected according to either theory? Second, according to cultural and economic scene of Iran, which theory would be best to adapt in Iran? Criminalization of animal cruelty could be based either on Utilitarianism, which would prevent harms to animals claiming it would prevent harms to human, or based on Moralism, which declares violence against any creature, be it animal or human to be wrong. It seems that first approach would result in minimal criminalization, rather than the second approach which would result it maximal criminalization. Due to the lack of necessary cultural premises in our country, and despite existing Islamic basis regarding animal rights, the minimal model seems more suitable to the Iranian Criminal Laws. In this model, actus reus of the crime would be any violent conduct mainly against animal’s body resulting death or unnecessary pain. The subject of crime is vertebrate animals and the mens rea is intentional harm. In countries who criminalize this crime, it is regarded as misdemeanor in sense of punishment. The research method for this paper follows describing the issue and then analyzing it using the available resources in accordance with laws and doctrines of selected countries.

    There are two rules regarding the party of procedure to whom the recovery of costs and fees of civil procedure should be imposed: the “American rule” which states that every side has to bear its own cost and fee in civil procedure, and the “English rule” according to which the loser party has to pay the prevailing party. The latter is preferred because of its access to reasonable justice, the right of litigation and the rights and duties rising from it. Compensation of attorney’s fee to the extent of attempts made by the attorney of the prevailing party, which is common in places like Scotland, has more compatibility with the justice and existing realities. The Iranian civil procedure code has adopted a separate and borderline state of both rules by accepting the "causation rule" and "negligence" as the basis. The obligations and conditions of the Iranian civil procedure code are designed so strictly that not only the attorney’s fee but also the costs and fees of the prevailing party are impossible to be reimbursed.
