Abstract:
What will be investigated in this study is the law governing domestic treaties of Iran, the main topic of which is Article 968 of the Iranian Civil Code, which, in accordance with this article: "Obligations arising from contracts are subject to the place of the contract unless the foreign affairs actors Explicitly or implicitly subject it to another law. "According to this article, if a contract was closed in Iran and one party is Iran and the other is a foreigner, the law governing this contract will be Iran's law unless the parties to the contract, Are external and put the contract under another law. Another point that can be mentioned is S It is the supreme court ruling on this matter and it is the principle of the sovereignty of will. In Iran, according to the principle of the territoriality of the laws, we must consider Iran's laws governing the contracts. As the civil law provisions of Iran regarding the obligations arising from the contract have an optional aspect, The conflict rule that considers contract obligations to be subject to the law of the place of the conclusion of the contract must be considered as an optional rule, and therefore the parties can agree that the obligations arising from their contract are subject to Iran's law, but that the contract was concluded outside of Iran. By explicit or implied agreement, they may treat the contract as subject to another law.
